Legal Counsel

Tel Aviv, Israel (On-site)Full-time

This is Masterschool's sole in-house legal position — a high-ownership, high-impact role at the center of everything we build and sign. You'll be the legal backbone of a fast-moving company: owning our commercial contracts end-to-end, supporting M&A and long-term partnerships, keeping the company compliant across jurisdictions, managing equity and options programs and advising the board.

We're not looking for a traditional in-house lawyer who gates decisions — we're looking for a legal operator who moves fast, thinks like a business partner, and gets deals done. The default here is "how do we make this work," not "here are the risks." Speed matters — and the ability to find ways to say yes safely.

What you'll do

  • Support M&A and long-term partnerships, including structuring, due diligence, negotiation, and closing across for-profit and nonprofit organizations.
  • Partner with legal firms supporting the company globally, ensuring clear ownership, fast execution, and practical business-aligned guidance across jurisdictions.
  • Manage and coordinate external counsel where needed — efficiently and cost-consciously.
  • Build and run the company's compliance framework across relevant jurisdictions (US, Israel, and others as we grow) — privacy, employment, regulatory, and corporate.
  • Partner with Product and Engineering teams to clear pre-launch legal/regulatory blockers and ensure ongoing compliance — including FERPA requirements, accreditation standards, and accessibility — so shipping never waits on legal.
  • Work cross-functionally with Finance, People, Product, and leadership to surface legal risk early and enable fast, informed decisions.
  • Own and manage all commercial contracts — MSAs, vendor agreements, partnership deals, student-facing terms — from first draft to signature.
  • Manage the company's equity program — option grants, vesting schedules, board approvals, and cap table accuracy.
  • Serve as legal counsel to the Board: prepare board resolutions, maintain corporate governance records, and advise on board-level decisions.

  • M&A and transactions exposure.
  • Native English and Hebrew speaker.
  • Location: Full on-site, Tel Aviv.
  • Israeli / US Bar license — an advantage.
